Introduction and Acceptance of Terms

These Terms and Conditions ("Terms") govern your access to and use of all services, platforms, facilities, and digital properties offered by iSprout ("Company," "iSprout," "we," "us," or "our"). These include, but are not limited to, our website, mobile applications, client dashboards, booking platforms, and physical business centres.

By accessing, browsing, registering, or using any iSprout services — including Managed Office solutions, Virtual Office services, Meeting Room facilities, enterprise workspace offerings, and related amenities — you acknowledge that you have read, understood, and agree to be legally bound by these Terms.

If you do not agree with any part of these Terms, you must immediately discontinue use of the platform and services. Continued use constitutes binding acceptance.

Scope of Services

iSprout provides flexible workspace and business infrastructure services designed to support startups, enterprises, and distributed teams. Services may include:

Eligibility and Authority

To use iSprout services, you must be at least 18 years of age and legally capable of entering into a binding agreement. By using the services, you represent and warrant that you meet this requirement.

If you are using iSprout services on behalf of a company, partnership, or other legal entity, you confirm that you are authorized to act on behalf of that entity and to bind it to these Terms and any related agreements.

iSprout may request identity, business registration, or authorization documents as part of its onboarding and compliance procedures.

Service Agreements Override

Certain services — including Managed Offices, Virtual Offices, and enterprise workspace solutions — may require a separate signed service agreement, proposal, or license document.

In the event of any conflict between these Terms and a separately executed service agreement, the terms of the signed agreement shall prevail for that specific service. These Terms will continue to apply as a general framework governing platform access and overall service conduct.

Account Registration and Information Accuracy

Access to certain features — including booking systems, dashboards, compliance documentation, and billing portals — may require account registration.

Managed Office Usage Terms

Managed Office services are governed primarily by the terms and conditions set out in the duly executed Service Agreement between the client and iSprout. Managed Office spaces are fully serviced and allocated under defined commercial and operational terms.

Virtual Office Service Terms

Virtual Office services include business address usage, mail handling support, and compliance documentation assistance where applicable.

Meeting Room and Facility Booking Terms

Meeting Rooms and conference facilities are provided on a scheduled booking basis and subject to availability.

Fees, Billing, and Payments

All iSprout services are fee-based unless explicitly stated otherwise.

Acceptable Conduct and Prohibited Activities

Users must maintain professional and lawful conduct within all iSprout facilities and platforms.

Technology and Connectivity Disclaimer

Internet access, IT infrastructure, and related services are provided on a best-effort basis. While iSprout strives for reliability and performance, uninterrupted uptime and error-free operation are not guaranteed.

iSprout is not liable for losses resulting from connectivity interruptions, system failures, third-party service outages, or technical disruptions beyond reasonable control.

Intellectual Property Rights

All platform content, branding, logos, designs, documents, and software associated with iSprout services remain the exclusive intellectual property of iSprout or its licensors.

Users may not copy, reproduce, distribute, modify, or commercially exploit any proprietary material without prior written permission.

Limitation of Liability

To the maximum extent permitted by law, iSprout shall not be liable for:

iSprout reserves the right to suspend or terminate services or access in cases of:

Force Majeure

iSprout shall not be held responsible for delays or service failures resulting from events beyond reasonable control, including natural disasters, government orders, civil disturbances, strikes, utility failures, or network outages.

Service obligations may be suspended during such periods without penalty.

Governing Law and Jurisdiction

These Terms shall be governed by and interpreted in accordance with the laws of India. Any disputes shall be subject to the exclusive jurisdiction of the courts located where iSprout's registered office is situated.
